Please read these Terms of Service (the “Terms”) carefully because they govern your use of the website located at https://chaidiscovery.com (the “Site”). To make these Terms easier to read, the Site and our services are collectively called the “Services.” By using our Services, you agree to be bound by these Terms. If you don’t agree to be bound by these Terms, do not use the Services. If you are accessing and using the Services on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, “you” and “your” will refer to that entity.

Termination. These Terms remain in effect until terminated by either you or Chai. You may stop using the Services at any time. We reserve the right to suspend or terminate your access to the Services at our sole discretion, with or without notice, for any reason including violation of these Terms, applicable laws, or misuse of the Services. Upon termination, your right to use the Services will cease immediately. Termination will not affect any of your obligations or our rights that accrued prior to termination. Provisions of these Terms that by their nature should survive termination will continue to apply, including those relating to intellectual property, disclaimers, limitations of liability, and governing law.
Disclaimers. The Services are provided “as is” without warranties of any kind. We do not guarantee that the Services will be secure, error-free, or available at all times. You use the Services at your own risk. To the fullest extent permitted by law, Chai Discovery will not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, data, goodwill, or business opportunity, arising from your use of, or inability to use, the Services or any content obtained through them.
Indemnity. You agree to indemnify and hold Chai and its officers, directors, employees and agents, harmless from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including but not limited to reasonable legal and accounting fees arising out of or in any way connected with your access to or use of the Services or Output, or your violation of these Terms, the AUP, or applicable law.
Governing Law. These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the courts located in San Francisco, California.
General. These Terms (including our Privacy Policy) are the entire agreement between you and Chai Discovery concerning your use of the Services. If any provision is found to be unenforceable, it will not affect the remaining terms. You may not assign or transfer these Terms without our consent. Chai may transfer its rights and obligations freely. Our failure to enforce any part of these Terms will not be a waiver of our rights.
